Thanks to Mohamed @ avast! tech Support!

"Dear Mr.Jr,

There are many things can prevent exchange shield from starting

- I wrote something about this issue in my personal blog:

http://elnow.net/blog/index.php/avast-microsoft-exchange-server/

- Check the service exchange services also if this mail flow in this exchange, by another meaning if he can send and receive emails in this exchange.

- check also if this file exist “C:\Program Files\AVAST Software\Avast Business\AsEx.dll”

- Always with exchange I deploy "File System shield, Exchange shield, Antispam" only with out problem.

Kind regards,
Mohamed Elhassaany

We upgraded to EPSP ver 8 and we are functional.  However, anti-spam will only work on Exchange 2007 and newer, no exchange 2003.  Have you met or talked to Peter Baxter yet?
