I suggest:

1. Clean your temporary files.
2. Schedule a boot time scanning with avast with archive scanning turned on. If avast does not detect it, you can try DrWeb CureIT! instead.
3. Use MBAM (or SUPERantispyware or even Spyware Terminator) to scan for spywares and trojans. If any infection is detected, better and safer is send the file to Quarantine than to simple delete them.
4. Test your machine with anti-rootkit applications. I suggest avast! antirootkit or Trend Micro RootkitBuster.
5. Make a HijackThis log to post here or this analysis site. Or even submit the RunScanner log to to on-line analysis.
6. Disable System Restore and then reenable it again.
7. Immunize your system with SpywareBlaster.
8. Check if you have insecure applications with Secunia Software Inspector.

Is your Windows copy a legit one?

RUNDLL32.exe bad image
A clear signal of file infection.
Besides the steps above, read the instructions, download and burn (maybe from another computer), finally use one of this rescue CD's:
1. Avira
2. Kaspersky
3. BitDefender
4. F-Secure
5. Dr. Web

I see that you are still running Windows SP2 that has several security vunerablilities and Windows SP3 has been available for almost a year that has perfomance enhancements and several Critical Security Updates so in IE go to Tools then Windows Update then download and install all updates.

Set up the system for Automatic Updates by going to Control Panel then Automatic Updates then select Automatic (recommended) or at least Notify me but do not download or install them.

Run Secunia Online Software Inspector to see what other applications have vulnerabilities:

some bad news while installing updates a message comes
Some Updates Could Not Be Installed

these were them
Security Update for Windows XP (KB923561)
Security Update for Windows XP (KB955069)
Security Update for Windows XP (KB954600)
Security Update for Windows XP (KB958687)
Update Rollup for ActiveX Killbits for Windows XP (KB960715)
Security Update for Windows XP (KB957097)
Security Update for Windows XP (KB956572)

i have tryed re registring windows update 3.0 agent
and worst part is as my windows is pirated(i know i throw axe on my foot myself)so when i try installing updates from windos update site they ask to validate first then only i can get updates
