There is some description at the bottom of this page:
http://www.fortinet.com/FortiGuardCenter/glossary2.html

Quote
Grayware is a term used to describe some brands of unwanted software that is also not malicious.
Grayware programs will generally operate in the "gray" area of computing - not really crossing the line of becoming a Trojan or viral in nature.

Grayware programs are considered a nuisance or are unwanted applications, and may become installed unintentionally by the user. Many times, the installation of the grayware to the system is without the user?s knowledge. Examples of grayware are: Adware, Dialers, Joke programs, and more.
